Terms of Use

These Terms of Use are established by Perfect Image, LLC, doing business as Aesthetic Exclusive™, together with its affiliated brands, including Women of Culture, Women of Multi-Cultural Ethnicities, WMCE, and Perfect Image Consulting (collectively, “Aesthetic Exclusive™,” “AE,” “we,” “our,” or “us”).

By accessing or using the Aesthetic Exclusive™ website (the “Site”) and any related services (the “Services”), you (“you” or “Participant”) agree to be bound by these Terms of Use in their entirety.

These Terms apply to all Aesthetic Exclusive™ offerings, including but not limited to any in person or virtual event, meeting, show, seminar, or conference (collectively, “Events”). By registering for or participating in any Events, you acknowledge and agree that these Terms constitute a binding legal agreement between you and Aesthetic Exclusive™.

If you register for or participate in the Services or Events on behalf of another individual, you represent and warrant that you have the authority to accept these Terms on their behalf and that such individual has been informed of and agrees to these Terms.

You further agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Site, Services, and Events, whether or not expressly referenced in these Terms.

1. USE OF SITE

You agree to use the Aesthetic Exclusive™ platform in a respectful, lawful, and appropriate manner at all times.

Harassment in any form, including via email, chat, or the use of obscene, offensive, or abusive language, is strictly prohibited.

Impersonation of any individual or entity, including Perfect Image, LLC, Aesthetic Exclusive™, or any of its employees, representatives, or affiliates, as well as other users or visitors of the site, is not permitted.

You may not upload, distribute, or otherwise publish through the site any content that is unlawful, libelous, defamatory, obscene, threatening, abusive, invasive of privacy or publicity rights, or otherwise objectionable. This includes any content that may constitute or encourage criminal conduct, violate the rights of any party, or give rise to liability under applicable law.

The use of the platform to distribute unauthorized commercial content, solicit users for external services, or promote other organizations without prior written approval from Aesthetic Exclusive™ is strictly prohibited.

2. PARTICIPATION DISCLAIMER

Aesthetic Exclusive™ does not and cannot review all communications, materials, or content posted to or created by users accessing the Site and is not responsible for the substance, accuracy, or reliability of such communications or materials.

The views, opinions, and positions expressed by speakers, attendees, Sponsors, or other participants at Aesthetic Exclusive™ events or on the Site are solely their own and do not necessarily reflect the views, opinions, or positions of Aesthetic Exclusive™, Perfect Image, LLC, or any of their employees, representatives, or affiliates.

By providing access to user generated content, Aesthetic Exclusive™ acts solely as a passive platform for the distribution of such content and assumes no obligation or liability related to any materials, communications, or activities conducted by users or third parties.

Aesthetic Exclusive™ reserves the right, at its sole discretion, to monitor, block, remove, or refuse any content or communication that it determines to be:

  • Abusive, defamatory, or obscene.
  • Fraudulent, deceptive, or misleading.
  • In violation of any copyright, trademark, or other intellectual property rights.
  • Offensive or otherwise inconsistent with the standards and integrity of the Aesthetic Exclusive™ platform.

2.1 Content of Employees

Aesthetic Exclusive™ does not assume responsibility for any statements, representations, or content shared by employees or representatives acting outside the scope of their official duties.

Any views, opinions, or positions expressed in a personal or private capacity, including on personal social media accounts, are solely those of the individual and do not necessarily reflect the views, opinions, or positions of Aesthetic Exclusive™.

3. PARTICIPANT REQUIREMENTS FOR EVENTS

3.1 Access

Your registration grants you access to the Aesthetic Exclusive™ event(s) for which you have registered. Any additional costs associated with your participation, including but not limited to travel, lodging, or personal expenses, are your sole responsibility. Aesthetic Exclusive™ shall have no liability for such costs.

3.2 Use of Likeness

By participating in Aesthetic Exclusive™ events, you acknowledge and agree to grant Aesthetic Exclusive™ the right to record, film, photograph, live stream, or otherwise capture your likeness, image, voice, and participation in any media now known or hereafter developed.

You further grant Aesthetic Exclusive™ the unrestricted, worldwide, perpetual right to use, reproduce, distribute, broadcast, display, and otherwise disseminate such media, in whole or in part, without any further approval, notification, or compensation to you.

This grant includes, but is not limited to:

  • The right to edit, modify, or adapt such media.
  • The right to use such media alone or in combination with other content.
  • The right to permit third parties to use or distribute such media.

3.3 Event Content and Modifications

Aesthetic Exclusive™ reserves the right, at its sole discretion, to modify any aspect of its events at any time. This includes, but is not limited to, event name, themes, content, programming, speakers, hosts, moderators, venue, format, and timing.

Aesthetic Exclusive™ shall not be liable for any changes, cancellations, or interruptions to scheduled events.

4. PROHIBITED CONDUCT DURING EVENTS

4.1 Limitations on Use 

By registering for an Aesthetic Exclusive™ event, you agree not to sell, transfer, share, or distribute your access link, credentials, or registration, whether complimentary or paid, without prior written consent from Aesthetic Exclusive™.

If Aesthetic Exclusive™ determines, at its sole discretion, that this policy has been violated, it reserves the right to:

  • Revoke or cancel your access without notice.
  • Retain any payments made.
  • Restrict or permanently ban future participation.
  • Take any additional action deemed appropriate, including reporting to applicable authorities.

4.2 Disruptive Conduct

You acknowledge and agree that Aesthetic Exclusive™ reserves the right to remove you from any event, without refund, if your behavior is deemed disruptive, inappropriate, or detrimental to the experience of other participants or the integrity of the event.

4.3 Recording and Broadcasting Restrictions

Participants may not record, reproduce, distribute, transmit, or broadcast any audio, video, or visual content from Aesthetic Exclusive™ events, including live streams, without prior written consent. Any unauthorized recording or distribution may result in immediate removal and potential legal action.

4.4 Unethical or Non-Compliant Conduct

Aesthetic Exclusive™ reserves the right to deny or revoke participation to any individual or entity that engages in, or is reasonably believed to engage in, unethical, unlawful, or non-compliant business practices.

4.5 Right of Refusal and Exclusion

In addition to the requirements and prohibitions outlined in these Terms, Aesthetic Exclusive™ reserves the right, at its sole discretion, to refuse, restrict, or revoke access to any participant at any time, with or without cause.

5. FEES AND REGISTRATION

5.1 Payment 

Payment of all applicable fees is due at the time of registration. If payment is declined, incomplete, or otherwise unsuccessful for any reason, Aesthetic Exclusive™ reserves the right to deny or revoke access to the applicable event or service without liability. All payments are subject to the Aesthetic Exclusive™ No Refund Policy as outlined in these Terms. This policy applies to all payments made to Aesthetic Exclusive™, including event registrations, sponsorships, and expert services.

You are responsible for any charges incurred in connection with your payment, including but not limited to overdraft fees, processing fees, or other related costs.

5.2 Taxes

All fees are exclusive of applicable taxes. You are responsible for the payment of any sales tax, value added tax, or other governmental taxes, duties, or charges imposed in connection with your purchase, which will be added where required by law.

6. CANCELLATION AND QUALITY ASSURANCE

6.1 Feedback and Experience

Aesthetic Exclusive™ is committed to delivering a high quality, elevated experience across all events and services. We welcome your feedback and encourage you to share your experience by contacting us through our Contact Us page.

All payments are final and non-refundable and are subject to the Aesthetic Exclusive™ No Refund Policy as outlined in these Terms.

Program content, speakers, and schedules are subject to change at the sole discretion of Aesthetic Exclusive™. While we strive to maintain the integrity and quality of each event, substitutions or modifications may occur. Aesthetic Exclusive™ shall not be responsible for such changes and no refunds, credits, or adjustments will be provided.

6.2 Cancellations

All registrations are binding and non-cancellable. Failure to attend, access, or participate in any Aesthetic Exclusive™ event or service does not relieve you of your payment obligation.

All payments remain final and non-refundable under all circumstances, including but not limited to non-attendance or non-participation.

6.3 Force Majeure

Aesthetic Exclusive™ shall not be held liable or responsible for any delay, disruption, or failure to perform its obligations due to causes beyond its reasonable control. These may include, but are not limited to, acts of God, natural disasters, pandemics, epidemics, labor disputes, government actions, war, terrorism, civil unrest, technical failures, or interruptions related to hosting platforms or technology infrastructure (each a “Force Majeure Event”).

In the event of a Force Majeure Event, Aesthetic Exclusive™ reserves the right to modify, reschedule, or cancel any event or service without liability.

If an event is rescheduled, your registration may be transferred to the rescheduled event at the sole discretion of Aesthetic Exclusive™. No refunds, credits, or compensation will be issued. Participation in any rescheduled event is subject to availability and does not guarantee identical content, speakers, or format.

7. EVENTS REGISTRATION CONFIRMATION

7.1 Confirmation of Registration

Upon completing your registration, you will receive a confirmation email from Aesthetic Exclusive™. You are responsible for ensuring that a valid and accurate email address is provided at the time of registration. Please check your spam or junk folder if you do not receive your confirmation.

7.2 Delivery of Event Information

All essential event related information will be delivered electronically to the email address provided during registration. Where applicable, communications may also be sent to the mailing address you provide.

7.3 Participant Communications

By registering, you consent to receive communications from Aesthetic Exclusive™, including updates related to your event and notifications about future events, offerings, and opportunities.

7.4 Opt Out Option

You may opt out of non-essential communication at any time by using the unsubscribe link included in our emails. Please note that you may still receive transactional or event specific communications necessary for your participation.

8. INTELLECTUAL PROPERTY

8.1 General

All trademarks, service marks, branding, content, and other intellectual property associated with Aesthetic Exclusive™ are owned by or licensed to Perfect Image, LLC and its affiliates and remain their exclusive property.

Nothing in these Terms grants you any ownership interest, license, or right to use any intellectual property of Aesthetic Exclusive™, Perfect Image, LLC, or their affiliates without prior written consent.

8.2 Events and Content

All intellectual property rights in and to Aesthetic Exclusive™ events, including but not limited to event content, presentations, materials, recordings, and related assets, are owned by Aesthetic Exclusive™, Perfect Image, LLC, or the respective Sponsors, speakers, or contributors, as applicable.

You may not copy, reproduce, distribute, modify, display, transmit, or otherwise use any trademarks, trade names, content, or materials presented at or in connection with Aesthetic Exclusive™ events without the prior written consent of Aesthetic Exclusive™ or the applicable rights holder. Unauthorized use of any intellectual property may result in immediate removal from the platform and may subject you to legal action.

9. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

9.1 Disclaimer of Warranties

To the fullest extent permitted by applicable law, Aesthetic Exclusive™ makes no representations or warranties of any kind, express or implied, regarding the Site, services, events, or any related content or materials.

All services, events, and content are provided on an “as is” and “as available” basis. Aesthetic Exclusive™ expressly disclaims all implied warranties, including but not limited to warranties of accuracy, completeness, timeliness, merchantability, and fitness for a particular purpose.

The views, opinions, and positions expressed by speakers, attendees, Sponsors, or other participants are solely their own and do not necessarily reflect those of Aesthetic Exclusive™, Perfect Image, LLC, or their affiliates.

Aesthetic Exclusive™ does not guarantee the accuracy, reliability, or validity of any information presented and shall not be liable for any errors, omissions, delays, or outcomes arising from the use of such information.

Aesthetic Exclusive™ does not endorse and expressly disclaims all liability related to any products or services offered by Sponsors, speakers, attendees, or third parties.

9.2 Limitation of Liability

To the fullest extent permitted by law, Aesthetic Exclusive™, Perfect Image, LLC, and their affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities, arising out of or related to the use of the Site, services, events, or these Terms.

9.3 No Liability for Events Beyond Control

Aesthetic Exclusive™ shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to Force Majeure Events as defined in these Terms.

9.4 Limitation of Aggregate Liability

To the fullest extent permitted by law, the total aggregate liability of Aesthetic Exclusive™, Perfect Image, LLC, and their affiliates for any claim arising out of or relating to the Site, services, events, or these Terms, whether in contract, tort, or otherwise, shall not exceed the total amount paid by you to Aesthetic Exclusive™ for the applicable service or event. Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

10. INDEMNIFICATION

Aesthetic Exclusive™ reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully in such defense. You agree to indemnify, defend, and hold harmless Aesthetic Exclusive™, Perfect Image, LLC, and their respective parents, subsidiaries, affiliates, officers, directors, employees, and representatives from and against any and all claims, demands, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or related to:

  • Your access to or use of the Site, services, or events.
  • Your violation of these Terms.
  • Your infringement or alleged infringement of any intellectual property or other rights of any person or entity.
  • Any conduct by you or any individual using your account.

11. USER INFORMATION AND PRIVACY POLICY

By accepting these Terms, you acknowledge and agree to the collection, use, and disclosure of your personal information in accordance with the Aesthetic Exclusive™ Privacy Policy.

Your use of the Site, services, and events is subject to our Privacy Policy, which outlines how Aesthetic Exclusive™ collects, uses, and safeguards your information. By using the Site or submitting information, you consent to the practices described in the Privacy Policy.

12. MISCELLANEOUS

12.1 Waiver

The failure of Aesthetic Exclusive™ to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision or any other rights hereunder.

12.2 Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.

12.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in California.

Nothing in this section shall override any mandatory consumer protection laws applicable in your jurisdiction, including those that may require the application of the laws of your country of residence.

13. EXHIBITOR OR SPONSOR AGREEMENT FOR EVENTS

In addition to these Terms, if you participate as an Exhibitor or Sponsor at any Aesthetic Exclusive™ event, the following terms and conditions apply.

For purposes of this section, Aesthetic Exclusive™ is referred to as the “Organizer,” and the Exhibitor or Sponsor is referred to as the “Applicant,” as identified in the applicable agreement.

13.1 Payment and Terms

The participation fee includes all amounts payable by the Applicant for exhibition space, sponsorship, advertising, and related services.

All payments are final and non-refundable. The full participation fee must be paid prior to the scheduled event date.

In the event of cancellation or reduction of participation by the Applicant, no portion of the participation fee shall be reduced or refunded, and any outstanding balance shall remain due.

If the Applicant fails to make timely payment or comply with these Terms, the Organizer reserves the right to reassign or resell the reserved space and to charge interest on any overdue amounts.

13.2 Cancellation and Termination

If the Applicant cancels or breaches this Agreement, all payments made shall be retained by the Organizer as liquidated damages and not as a penalty. The Applicant remains responsible for any unpaid amounts due at the time of cancellation or breach.

The Organizer reserves the right to terminate this Agreement immediately if the Applicant fails to comply with its obligations.

If the event cannot proceed or is disrupted due to circumstances beyond the Organizer’s control, including but not limited to force majeure events, the Organizer may cancel, modify, or reschedule the event without liability. Any decision regarding rescheduling or application of fees shall be made at the sole discretion of the Organizer.

13.3 Booth Assignment

The Organizer will use reasonable efforts to accommodate booth preferences; however, all assignments are made at the sole discretion of the Organizer. The Organizer may modify the event layout or booth configuration at any time without liability.

13.4 No Assignment or Subletting

Assigned space is for the Applicant’s use only and may not be assigned, shared, or sublet without prior written consent from the Organizer. Any unauthorized transfer shall be deemed null and void.

13.5 Representations and Warranty

The Applicant represents and warrants that all materials, products, and displays do not infringe upon any intellectual property rights.

The Applicant agrees to indemnify and hold harmless the Organizer from any claims arising from such infringement or breach.

13.6 Right to Reject or Remove

The Organizer reserves the right to reject, remove, or restrict the Applicant or its representatives at its sole discretion. No refund shall be provided in such cases.

13.7 Right of Possession

To ensure performance of obligations, the Organizer may take possession of the Applicant’s property on the premises as security. The Organizer may remove, store, or dispose of such property, if necessary, with all associated costs borne by the Applicant.

13.8 Fire, Safety, and Health Compliance

The Applicant is solely responsible for compliance with all applicable safety, fire, and health regulations.

13.9 Licenses and Permits

The Applicant is responsible for obtaining all required licenses, permits, and approvals and for paying any associated taxes or fees.

13.10 Property Loss or Damage

The Organizer is not responsible for loss or damage to the Applicant’s property. The Applicant assumes full responsibility and is encouraged to obtain appropriate insurance.

13.11 Insurance Requirements

The Applicant shall maintain appropriate insurance coverage, including public liability insurance, and provide proof upon request. The Organizer reserves the right to deny participation without proof of coverage.

13.12 Indemnification

The Applicant agrees to indemnify and hold harmless the Organizer and its affiliates from any claims, damages, or liabilities arising from the Applicant’s actions, participation, or breach of these Terms.

13.13 Limitation of Liability

The Organizer’s total liability shall not exceed the amount paid by the Applicant for participation.

13.14 Event Rules and Regulations

Additional rules may be issued by the Organizer at any time and shall be binding upon the Applicant.

13.15 Severability

If any provision is deemed invalid, the remaining provisions shall remain in full force and effect.

13.16 Revocation

Upon termination, all rights granted to the Applicant are revoked, and the Applicant must immediately vacate the premises.

13.17 Set-Off

The Organizer may offset any amounts owed against any payments due to the Applicant.

13.18 Assignment

The Organizer may assign its rights at its discretion. The Applicant may not assign its rights without prior written consent.

13.19 Entire Agreement

This section constitutes the entire agreement between the parties and may only be modified in writing.

13.20 Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the State of California. Any disputes shall be resolved exclusively in the courts located in Los Angeles County, California.

14. Opting Out of Experts Directory, Social Media Visibility, and Marketing Promotions

You have the right to request that Aesthetic Exclusive™ limit or cease the use of your personal information for marketing purposes.

If you are listed in the Experts Directory, featured on a Sponsors page or Blog, or otherwise affiliated with Aesthetic Exclusive™ in a public capacity, including as a contributor, collaborator, or partner, you may request removal at any time by submitting a written request through our Contact Us page. Upon receipt of your request, your name, image, logo, and/or business information will be removed from Aesthetic Exclusive™ owned websites and official social media platforms within a reasonable timeframe.

Aesthetic Exclusive™ is not responsible for the continued presence of your information in third party content or platforms, including but not limited to reposts, tags, mentions, or shares that are outside of our control.

Aesthetic Exclusive™ may feature profiles, names, images, logos, content, and business information of Experts, Sponsors, and other affiliated individuals or entities across its social media platforms, including Instagram, LinkedIn, Facebook, Pinterest, and X, as part of its promotional and marketing efforts. Participation or public affiliation with Aesthetic Exclusive™ constitutes acknowledgment and consent to such limited promotional use, unless a written request for removal or exclusion is submitted.

If you prefer not to receive marketing communications, you may opt out at any time by selecting the unsubscribe option included in our communications or by submitting a request through our Contact Us page. Please note that you may continue to receive transactional or service-related communications as necessary.

15. Definitions and Interpretations

15.1 Definitions

In these Terms, the following definitions apply unless otherwise stated:

“Aesthetic Exclusive™” or “Company” means Perfect Image, LLC, doing business as Aesthetic Exclusive™, together with its affiliated brands, including Women of Culture, Women of Multi-Cultural Ethnicities, WMCE, and Perfect Image Consulting.

“Business Day” means any day other than a Saturday, Sunday, or public holiday in the State of California.

“Client” means any individual or business entity that purchases or engages services from Aesthetic Exclusive™.

“Contract” means any agreement between Aesthetic Exclusive™ and the Client for the provision of Services, including these Terms and any applicable Order or Invoice.

“Order” means the agreed scope of services, sponsorship, or participation package as outlined in an invoice, proposal, or service agreement.

“Services” means the services provided by Aesthetic Exclusive™ as described in the applicable Order.

“Intellectual Property Rights” means all intellectual property rights of any kind, including but not limited to copyrights, trademarks, service marks, trade names, domain names, design rights, database rights, and any related rights, whether registered or unregistered, worldwide.

“Terms” means these Terms of Use, as updated from time to time.

15.2 Interpretation

  • Words in the singular include the plural and vice versa.
  • References to any gender include all genders.
  • Headings are for convenience only and do not affect interpretation.

15.3 Legal References

Any reference to a law or regulation includes any amendment, replacement, or re-enactment of that law.
