Terms of Use

These Terms of Use (“Terms”) are established by Perfect Image, LLC, doing business as Aesthetic Exclusive™ (“Aesthetic Exclusive™,” “AE,” “we,” “our,” or “us”) and govern your access to and use of the Aesthetic Exclusive™ website, related platforms, services, programs, and offerings.

These Terms also apply, as applicable, to offerings presented through affiliated brands, programs, and initiatives of Perfect Image, LLC, including Women of Multi-Cultural Ethnicities, WMCE, Women of Culture, and Perfect Image Consulting.

By accessing or using the Aesthetic Exclusive™ website (the “Site”), or by registering for, purchasing, participating in, or using any related service or offering (collectively, the “Services”), you agree to be bound by these Terms.

The Services may include, without limitation, in-person or virtual events, meetings, shows, seminars, conferences, sponsorship opportunities, Experts Directory placements, featured listings, blog features, social media promotions, consulting services, marketing campaigns, digital placements, brand visibility opportunities, and other promotional or professional offerings made available by Aesthetic Exclusive™ or Perfect Image, LLC.

Aesthetic Exclusive™ sponsorship opportunities offered, marketed, or purchased through the Site are governed by these Terms, together with any applicable Sponsorship Guidelines, package terms, order forms, invoices, or written agreements. Perfect Image, LLC is the legal contracting entity for all such sponsorship purchases and transactions.

If these Terms conflict with the general Perfect Image, LLC Terms of Use regarding an Aesthetic Exclusive™ sponsorship, these Aesthetic Exclusive™ Terms of Use will govern that sponsorship unless a separate written agreement expressly states otherwise.

If you register for, purchase, or participate in any Service on behalf of another individual, company, or other entity, you represent and warrant that you have authority to accept these Terms on that party’s behalf and that the party has been informed of and agrees to these Terms.

You agree to comply with all applicable local, state, federal, and international laws and regulations in connection with your access to or use of the Site and Services, including sponsorship opportunities, promotional features, directory placements, consulting services, and other offerings made available by Aesthetic Exclusive™, Perfect Image, LLC, or their affiliated brands and platforms.

1. USE OF SITE

You agree to use the Aesthetic Exclusive™ Site and Services in a lawful, respectful, and appropriate manner and only for their intended purposes.

You may not use the Site or Services to engage in harassment, threats, abusive or obscene conduct, fraudulent or deceptive activity, unlawful conduct, or any activity that interferes with the operation, security, integrity, or use of the Site or Services by others.

You may not attempt to gain unauthorized access to the Site, its systems, accounts, data, or other restricted areas, or use the Site or Services in any manner that violates applicable laws or regulations.

Aesthetic Exclusive™ and Perfect Image, LLC reserve the right to restrict, suspend, or terminate access to the Site or Services when we reasonably believe these Terms have been violated or when necessary to protect our Site, Services, users, or business interests.

2. PARTICIPATION DISCLAIMER

Aesthetic Exclusive™ does not and cannot review all communications, materials, or content posted to or created by users accessing the Site and is not responsible for the substance, accuracy, or reliability of such communications or materials.

The views, opinions, and positions expressed by speakers, attendees, Sponsors, contributors, or other participants at Aesthetic Exclusive™ Events or through the Site or Services are solely their own and do not necessarily reflect the views, opinions, or positions of Aesthetic Exclusive™, Perfect Image, LLC, or their affiliates.

To the extent the Site or Services provide access to user-generated or third-party content, Aesthetic Exclusive™ provides the platform through which such content may be made available and assumes no obligation or liability for materials, communications, representations, or activities conducted by users or third parties, except as otherwise required by applicable law.

Aesthetic Exclusive™ reserves the right, at its discretion, to monitor, block, remove, or refuse content or communications that it determines to be:

  • Abusive, defamatory, threatening, or obscene.
  • Fraudulent, deceptive, or misleading.
  • In violation of any copyright, trademark, or other intellectual property right.
  • Unlawful or otherwise inconsistent with the standards, policies, or integrity of the Aesthetic Exclusive™ platform.

3. CONTENT OF EMPLOYEES AND REPRESENTATIVES

Aesthetic Exclusive™ does not assume responsibility for statements, representations, or content shared by employees or representatives acting outside the scope of their official duties or authority.

Views, opinions, or positions expressed by an employee or representative in a personal or private capacity, including through personal social media accounts, are solely those of the individual and do not necessarily reflect the views, opinions, or positions of Aesthetic Exclusive™, Perfect Image, LLC, or their affiliates.

4. PARTICIPANT REQUIREMENTS FOR EVENTS

4.1 Access

Your registration grants you access only to the Aesthetic Exclusive™ Event or Events for which you have registered. Any additional costs associated with your participation, including travel, lodging, transportation, meals, or personal expenses not expressly included in your registration, are your sole responsibility. Aesthetic Exclusive™ shall have no liability for such costs.

4.2 Use of Likeness

By participating in an Aesthetic Exclusive™ Event, you acknowledge and agree that the Event may be photographed, filmed, recorded, live streamed, or otherwise captured. To the extent permitted by applicable law, you grant Aesthetic Exclusive™ and Perfect Image, LLC the right to capture and use your likeness, image, voice, and participation in connection with the Event and related educational, informational, archival, and promotional purposes.

To the extent permitted by applicable law, this grant includes the worldwide and perpetual right to use, reproduce, distribute, broadcast, display, edit, and otherwise disseminate such media, in whole or in part, without further approval, notification, or compensation.

This grant includes, without limitation:

  • The right to edit, modify, or adapt such media.
  • The right to use such media alone or in combination with other content.
  • The right to permit service providers, media partners, or other authorized third parties to use or distribute such media on behalf of Aesthetic Exclusive™ or Perfect Image, LLC.

4.3 Event Content and Modifications

Aesthetic Exclusive™ reserves the right to modify aspects of an Event when reasonably necessary, including its name, themes, content, programming, speakers, hosts, moderators, venue, format, schedule, or timing.

To the fullest extent permitted by applicable law, Aesthetic Exclusive™ shall not be liable for reasonable changes, substitutions, cancellations, or interruptions affecting scheduled Events except as expressly provided in these Terms or another applicable written agreement.

5. PROHIBITED CONDUCT DURING EVENTS

5.1 Limitations on Use

By registering for an Aesthetic Exclusive™ Event, you agree not to sell, transfer, share, or distribute your access link, credentials, registration, or other admission rights, whether complimentary or paid, without prior written consent from Aesthetic Exclusive™.

If Aesthetic Exclusive™ reasonably determines that this provision has been violated, it reserves the right, to the extent permitted by applicable law, to:

  • Revoke or cancel access.
  • Retain payments to the extent permitted under these Terms and applicable law.
  • Restrict future participation.
  • Take other appropriate action, including reporting unlawful activity to applicable authorities.

5.2 Disruptive Conduct

Aesthetic Exclusive™ reserves the right to remove a participant from an Event if the participant engages in conduct reasonably determined to be disruptive, threatening, abusive, unlawful, inappropriate, or materially detrimental to other participants or the integrity or safety of the Event. Where permitted by applicable law, removal for such conduct will not entitle the participant to a refund.

5.3 Recording and Broadcasting Restrictions

Participants may not record, reproduce, distribute, transmit, live stream, or broadcast audio, video, presentations, or other protected content from Aesthetic Exclusive™ Events without prior written consent from Aesthetic Exclusive™ or the applicable rights holder. Unauthorized recording or distribution may result in removal from the Event and other remedies available under applicable law.

5.4 Unethical or Non-Compliant Conduct

Aesthetic Exclusive™ reserves the right to deny, restrict, or revoke participation by an individual or entity that engages in, or that Aesthetic Exclusive™ reasonably believes has engaged in, unlawful, fraudulent, deceptive, unethical, or materially non-compliant business practices relevant to its participation.

5.5 Right of Refusal and Exclusion

Subject to applicable law and any contractual obligations, Aesthetic Exclusive™ reserves the right to refuse, restrict, suspend, or revoke participation or access when reasonably necessary to enforce these Terms, protect participants, preserve the integrity of the platform or Event, or protect the legitimate business interests of Aesthetic Exclusive™ and Perfect Image, LLC.

6. FEES, PAYMENTS, AND REGISTRATION

6.1 Payment

Payment of all applicable fees is due according to the terms presented at registration, checkout, invoicing, or in the applicable Order or written agreement. If payment is declined, incomplete, reversed, or otherwise unsuccessful, Aesthetic Exclusive™ and/or Perfect Image, LLC reserve the right to withhold, deny, suspend, or revoke the applicable Service or participation, subject to applicable law.

All payments are subject to the Aesthetic Exclusive™ No Refund Policy contained in these Terms. This policy applies to payments for Events, sponsorships, Experts Directory services, promotional opportunities, and other paid Services unless a separate written agreement expressly provides otherwise.

You are responsible for charges imposed by your financial institution or payment provider in connection with your transaction, except to the extent otherwise required by applicable law.

6.2 Taxes

Unless otherwise stated, fees are exclusive of applicable taxes. You are responsible for sales, use, value added, or other governmental taxes, duties, or charges imposed in connection with your purchase where required by applicable law.

6.3 Non-Refundable Services, Sponsorships, Promotional Features, and Directory Placements

Except where otherwise required by applicable law or expressly stated in a separate written agreement, all payments for Services, sponsorship packages, promotional opportunities, Experts Directory placements, featured listings, blog features, digital promotions, consulting services, marketing campaigns, visibility placements, and related offerings are final and non-refundable.

By purchasing or participating in such offerings, you acknowledge that Aesthetic Exclusive™ and/or Perfect Image, LLC may allocate scheduling, placement, marketing, branding, creative, promotional, administrative, and operational resources in connection with the purchased Service or opportunity.

Unless expressly guaranteed in a written agreement, payments are not contingent upon specific audience reach, engagement, impressions, leads, conversions, revenue, business performance, or other results arising from a Service, Event, sponsorship, promotional feature, or placement.

Failure by the purchaser to utilize, participate in, respond to, approve, provide requested information or materials for, or otherwise engage with a purchased Service or promotional opportunity does not entitle the purchaser to a refund, credit, offset, or cancellation, except where required by applicable law.

7. CANCELLATION AND QUALITY ASSURANCE

7.1 Feedback and Experience

Aesthetic Exclusive™ is committed to delivering a high-quality experience across its Events and Services. We welcome feedback and encourage you to share your experience through our Contact Us page.

Event or program content, speakers, schedules, and other details may be modified when reasonably necessary. While we strive to maintain the integrity and quality of each Event or Service, substitutions and modifications may occur. Except where otherwise required by applicable law or a written agreement, such changes do not create an entitlement to a refund, credit, or adjustment.

7.2 Cancellations

Except where otherwise stated in writing or required by applicable law, registrations and purchases are binding and non-cancellable. Failure to attend, access, participate in, or utilize an Event or Service does not relieve the purchaser of an outstanding payment obligation.

Payments remain subject to the No Refund Policy stated in these Terms.

7.3 Force Majeure

Aesthetic Exclusive™ and Perfect Image, LLC shall not be liable for delay, disruption, cancellation, or failure to perform caused by circumstances beyond their reasonable control, including natural disasters, severe weather, epidemics or pandemics, labor disputes, government orders or actions, war, terrorism, civil unrest, utility interruptions, widespread technical failures, or material interruptions involving hosting, communications, payment, or technology infrastructure (each, a “Force Majeure Event”).

In the event of a Force Majeure Event, Aesthetic Exclusive™ may modify, postpone, reschedule, relocate, convert the format of, or cancel an affected Event or Service as reasonably necessary.

If an Event is rescheduled, a registration may be transferred to the rescheduled Event. Unless otherwise required by applicable law or expressly agreed in writing, rescheduling does not guarantee identical content, speakers, location, timing, or format.

8. EVENT REGISTRATION AND COMMUNICATIONS

8.1 Confirmation of Registration

Upon completing an applicable Event registration, you may receive a confirmation electronically. You are responsible for providing accurate and current contact information and for reviewing your spam or junk folder if an expected communication is not received.

8.2 Delivery of Event Information

Event-related information may be delivered electronically to the email address or other contact information provided during registration.

8.3 Transactional and Event Communications

By registering for an Event or purchasing a Service, you acknowledge that Aesthetic Exclusive™ may send transactional, administrative, operational, or Event-related communications reasonably necessary to provide the purchased Service or participation.

8.4 Marketing Communications and Opt Out

Where permitted by applicable law and consistent with your communication preferences, Aesthetic Exclusive™ may also send information regarding future Events, Services, content, or opportunities. You may opt out of non-essential marketing emails at any time by using the unsubscribe option included in the communication. Opting out of marketing communications will not prevent us from sending transactional, administrative, legal, or Service-related communications when necessary.

9. INTELLECTUAL PROPERTY

9.1 General

All trademarks, service marks, trade names, branding, designs, text, graphics, photographs, videos, website content, and other intellectual property associated with Aesthetic Exclusive™ are owned by or licensed to Perfect Image, LLC, its affiliates, or the applicable rights holder and are protected by applicable intellectual property laws.

Nothing in these Terms grants you ownership of, or a license or other right to use, intellectual property belonging to Aesthetic Exclusive™, Perfect Image, LLC, their affiliates, or another rights holder except as expressly authorized in writing.

9.2 Events and Content

Intellectual property rights in Aesthetic Exclusive™ Events and related presentations, materials, recordings, photographs, graphics, educational resources, and other content are owned by Aesthetic Exclusive™, Perfect Image, LLC, or the applicable Sponsor, speaker, contributor, licensor, or other rights holder.

You may not copy, reproduce, republish, distribute, modify, publicly display, transmit, sell, license, or otherwise exploit protected content or intellectual property presented through the Site, Services, or Events without prior authorization from the applicable rights holder. Unauthorized use may result in suspension or termination of access and the exercise of other remedies available under applicable law.

10. DISCLAIMERS OF WARRANTIES AND LIMITATION OF LIABILITY

10.1 Educational and Informational Content Disclaimer

Information, articles, blog posts, social media content, Event presentations, educational materials, directories, interviews, expert perspectives, and other content made available by Aesthetic Exclusive™, Perfect Image, LLC, or their affiliates are provided for general educational and informational purposes only.

Aesthetic Exclusive™ and Perfect Image, LLC are not medical practices or healthcare providers, and content made available through the Site, Services, or Events is not intended to constitute medical advice, diagnosis, treatment, or a substitute for individualized professional healthcare advice.

Nothing contained on the Site, through the Services, or during an Event should be interpreted as a representation or recommendation that a particular procedure, treatment, product, provider, professional, or course of care is appropriate for any individual.

Healthcare and treatment decisions should be made in consultation with an appropriately qualified healthcare professional who can evaluate your individual medical history, condition, needs, goals, risks, and circumstances.

To the fullest extent permitted by applicable law, the Site, Services, Events, and related content and materials are provided on an “as is” and “as available” basis without warranties of any kind, express or implied.

To the fullest extent permitted by applicable law, Aesthetic Exclusive™ and Perfect Image, LLC disclaim implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, availability, and non-infringement.

Views, opinions, statements, claims, and positions expressed by Sponsors, speakers, Experts, attendees, contributors, or other third parties are their own and do not necessarily reflect those of Aesthetic Exclusive™, Perfect Image, LLC, or their affiliates.

Aesthetic Exclusive™ does not guarantee the accuracy, completeness, reliability, or continued availability of third-party information and, to the fullest extent permitted by applicable law, shall not be liable for errors, omissions, or outcomes arising from reliance upon such information.

10.3 Sponsors, Experts, and Third Parties

Profiles, listings, sponsorships, promotional content, links, interviews, features, and other references to Sponsors, Experts, professionals, businesses, products, or services are provided for informational and/or promotional purposes. Inclusion through Aesthetic Exclusive™ does not constitute a recommendation, endorsement, certification, verification, or guarantee of any Sponsor’s, Expert’s, professional’s, or third party’s products, services, claims, qualifications, representations, business practices, or results.

Users are responsible for conducting their own research and due diligence before purchasing products or services, selecting or engaging a professional or business, or relying upon information provided by a Sponsor, Expert, or other third party.

10.4 Limitation of Liability

To the fullest extent permitted by applicable law, Aesthetic Exclusive™, Perfect Image, LLC, and their affiliates, officers, directors, employees, representatives, and agents shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to the Site, Services, Events, content, third-party offerings, or these Terms.

10.5 No Liability for Events Beyond Control

Aesthetic Exclusive™ and Perfect Image, LLC shall not be liable for failure or delay in performance resulting from circumstances beyond their reasonable control, including Force Majeure Events described in these Terms.

10.6 Limitation of Aggregate Liability

To the fullest extent permitted by applicable law, the total aggregate liability of Aesthetic Exclusive™, Perfect Image, LLC, and their affiliates arising out of or relating to a particular paid Service, Event, sponsorship, or transaction shall not exceed the amount actually paid by you to Perfect Image, LLC for the specific Service, Event, sponsorship, or transaction giving rise to the claim.

Some jurisdictions do not permit certain exclusions or limitations of liability. Where such laws apply, these limitations will apply only to the maximum extent permitted by law.

11. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Perfect Image, LLC, Aesthetic Exclusive™, and their respective affiliates, officers, directors, employees, representatives, and agents from and against claims, demands, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • Your access to or use of the Site, Services, or Events.
  • Your violation of these Terms or another applicable agreement.
  • Your violation or alleged violation of applicable law.
  • Your infringement or alleged infringement of intellectual property, privacy, publicity, or other rights of another person or entity.
  • Content, materials, representations, claims, products, or information supplied by you.
  • Conduct by you or by another individual using your account or credentials with your authorization.

Perfect Image, LLC and/or Aesthetic Exclusive™ reserve the right, at their expense where appropriate, to assume the exclusive defense and control of a matter otherwise subject to indemnification, and you agree to reasonably cooperate in such defense.

12. USER INFORMATION AND PRIVACY

Your use of the Site and Services is subject to our Privacy Policy, which describes how personal information may be collected, used, disclosed, and safeguarded.

By submitting information through the Site or Services, you acknowledge the privacy practices described in our Privacy Policy.

Questions regarding the collection, use, disclosure, or safeguarding of personal information should be reviewed together with our Privacy Policy.

13. MISCELLANEOUS

13.1 Waiver

The failure or delay by Aesthetic Exclusive™ or Perfect Image, LLC to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

13.2 Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.3 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.

To the extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms shall be brought in the state or federal courts having jurisdiction in Los Angeles County, California, and the parties consent to the jurisdiction and venue of those courts.

Nothing in this section is intended to waive or limit any mandatory consumer protection right or other right that cannot lawfully be waived under applicable law.

13.4 Order of Precedence

If a separate written agreement, Order, invoice, sponsorship package, or other written transaction document contains terms that expressly conflict with these Terms, the more specific written terms governing that particular transaction will control to the extent of the conflict.

For Aesthetic Exclusive™ sponsorships, these Aesthetic Exclusive™ Terms govern over the general Perfect Image, LLC Terms of Use unless a separate written agreement expressly states otherwise.

14. EXHIBITOR OR EVENT SPONSOR TERMS

In addition to these Terms, the following provisions apply when an individual or entity participates as an Exhibitor or Sponsor at an Aesthetic Exclusive™ Event.

For purposes of this Section 14, Aesthetic Exclusive™ and Perfect Image, LLC, as applicable, are referred to as the “Organizer,” and the Exhibitor or Event Sponsor is referred to as the “Applicant.”

14.1 Payment and Terms

The applicable participation fee includes amounts identified in the Applicant’s Order, invoice, package, or written agreement for exhibition space, sponsorship, advertising, promotional benefits, or related Services.

Except where otherwise required by applicable law or expressly agreed in writing, payments are final and non-refundable. The applicable participation fee must be paid according to the payment schedule stated in the Applicant’s Order, invoice, or agreement.

If the Applicant cancels or reduces its participation, amounts paid or due will remain subject to the applicable cancellation provisions, No Refund Policy, Order, invoice, and written agreement.

If the Applicant fails to make a required payment or materially comply with applicable terms, the Organizer may, subject to applicable law, suspend participation, release or reassign reserved space or benefits, or exercise other contractual remedies.

14.2 Cancellation and Termination

If the Applicant cancels participation or materially breaches its obligations, payments will be handled in accordance with these Terms and the applicable Order or written agreement. The Applicant remains responsible for amounts properly due and owing at the time of cancellation or breach, subject to applicable law.

The Organizer may suspend or terminate participation if the Applicant materially fails to comply with these Terms, applicable Event rules, Sponsorship Guidelines, or another governing written agreement.

If an Event cannot proceed as planned because of circumstances beyond the Organizer’s reasonable control, the Organizer may modify, postpone, reschedule, relocate, convert the format of, or cancel the Event in accordance with the Force Majeure provisions of these Terms.

14.3 Booth Assignment

The Organizer will use reasonable efforts to accommodate booth or placement preferences when applicable; however, assignments are not guaranteed unless expressly confirmed in writing. The Organizer may reasonably modify an Event layout or configuration when operationally necessary.

14.4 No Assignment or Subletting

Space, placements, sponsorship benefits, or participation rights assigned to the Applicant may not be sold, assigned, shared, transferred, or sublet without prior written consent from the Organizer.

14.5 Representations and Warranties

The Applicant represents and warrants that it has the necessary rights, permissions, licenses, and authority to provide and display all logos, trademarks, photographs, advertisements, content, products, claims, and other materials supplied in connection with its participation.

The Applicant further represents and warrants that its materials, products, services, advertising, claims, and participation will comply with applicable laws, regulations, professional requirements, industry standards, and third-party rights.

14.6 Right to Reject, Restrict, or Remove

Subject to applicable law, the Organizer reserves the right to reject, restrict, suspend, or remove an Applicant, its representatives, materials, products, displays, or content when the Organizer reasonably determines that they violate applicable law, these Terms, Event requirements, Sponsorship Guidelines, platform standards, or the rights or safety of others.

14.7 Event Property and Removal

The Applicant is responsible for its property, equipment, merchandise, displays, and other materials brought to an Event. Upon termination of participation or conclusion of the Event, the Applicant must promptly remove its property in accordance with Event and venue requirements.

Property left behind may be handled, stored, or disposed of in accordance with applicable law and venue policies, and the Applicant may be responsible for reasonable costs associated with storage, removal, shipping, or disposal.

14.8 Fire, Safety, and Health Compliance

The Applicant is responsible for complying with applicable fire, safety, health, accessibility, venue, and Event requirements applicable to its activities, personnel, products, and displays.

14.9 Licenses and Permits

The Applicant is responsible for obtaining licenses, permits, approvals, registrations, and other authorizations legally required for its participation, products, demonstrations, or activities and for paying associated taxes, fees, or charges.

14.10 Property Loss or Damage

To the fullest extent permitted by applicable law, the Organizer is not responsible for loss, theft, or damage to the Applicant’s property except to the extent directly caused by the Organizer’s liability that cannot lawfully be excluded.

14.11 Insurance Requirements

Where reasonably required based on the nature of the Event or Applicant’s activities, the Applicant may be required to maintain appropriate insurance coverage and provide evidence of coverage before participation. Failure to provide required proof of insurance may result in denial or restriction of participation.

14.12 Indemnification

To the fullest extent permitted by applicable law, the Applicant agrees to indemnify, defend, and hold harmless the Organizer and its affiliates, officers, directors, employees, representatives, and agents from claims, liabilities, damages, losses, costs, and expenses arising from the Applicant’s participation, products, services, materials, claims, conduct, negligence, violation of law, infringement of third-party rights, or breach of these Terms or another applicable agreement.

14.13 Limitation of Liability

To the fullest extent permitted by applicable law, the Organizer’s aggregate liability arising from the Applicant’s Event participation shall not exceed the amount actually paid by the Applicant for the specific participation giving rise to the claim.

14.14 Event Rules and Regulations

The Organizer may establish reasonable Event-specific rules, procedures, schedules, safety requirements, and operational instructions. The Applicant agrees to comply with such requirements when communicated before or during the Event.

14.15 Severability

If a provision of this Section 14 is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the extent permitted by applicable law.

14.16 Revocation

Upon lawful termination or revocation of participation, the Applicant’s rights to participate in the applicable Event cease, and the Applicant and its representatives must comply with reasonable instructions regarding departure and removal of property.

14.17 Set-Off

To the extent permitted by applicable law and any applicable written agreement, amounts properly owed by the Applicant may be applied against amounts otherwise payable to the Applicant arising from the same contractual relationship.

14.18 Assignment

The Applicant may not assign or transfer its rights or obligations under an Event agreement without prior written consent from the Organizer. The Organizer may assign its rights and obligations to an affiliate, successor, purchaser of relevant assets, or other entity as permitted by applicable law.

14.19 Entire Agreement for Event Participation

These Terms, together with the applicable Event registration, Order, invoice, Sponsorship Guidelines, package terms, and any separate written agreement, constitute the agreement governing the Applicant’s Event participation.

14.20 Governing Law and Jurisdiction

Event participation shall be governed by the laws of the State of California, without regard to conflict-of-law principles. To the extent permitted by applicable law, disputes shall be subject to the state or federal courts having jurisdiction in Los Angeles County, California.

15. EXPERTS DIRECTORY, SPONSOR, SOCIAL MEDIA, AND MARKETING VISIBILITY

If you are listed in the Experts Directory, featured as a Sponsor, included in a Blog feature, or otherwise publicly participating with Aesthetic Exclusive™ as an Expert, contributor, collaborator, Sponsor, or other participating individual or entity, Aesthetic Exclusive™ may use the name, professional or business information, approved image, logo, profile information, and other materials provided or authorized by you for the visibility, directory, editorial, sponsorship, or promotional purposes associated with your participation.

Subject to the terms of the applicable Service, sponsorship package, Order, invoice, or written agreement, you may request that future use of such materials be limited or discontinued by submitting a written request through our Contact Us page.

Removal requests will be processed within a reasonable timeframe, subject to applicable contractual obligations, legal requirements, technical limitations, archival practices, and materials already published or distributed.

Aesthetic Exclusive™ cannot control and is not responsible for copies, reposts, tags, mentions, shares, search engine results, archives, third-party publications, or other content maintained or distributed by third parties outside our control.

Aesthetic Exclusive™ may feature approved profiles, names, images, logos, content, and business information of Experts, Sponsors, and other participating individuals or entities through Aesthetic Exclusive™ owned websites and official social media platforms as part of the applicable Service, sponsorship, editorial feature, directory placement, or promotional arrangement.

You may opt out of non-essential marketing communications at any time by using the unsubscribe option included in our communications or by submitting a request through our Contact Us page. You may continue to receive transactional, administrative, legal, or Service-related communications when necessary.

16. DEFINITIONS AND INTERPRETATION

16.1 Definitions

In these Terms, the following definitions apply unless the context requires otherwise:

“Aesthetic Exclusive™” or “AE” means the Aesthetic Exclusive™ brand operated by Perfect Image, LLC.

“Company” means Perfect Image, LLC, the legal entity doing business as Aesthetic Exclusive™.

“Business Day” means any day other than a Saturday, Sunday, or public holiday in the State of California.

“Client” or “Participant” means, as applicable, an individual or entity that accesses, purchases, registers for, participates in, or engages with a Service.

“Event” means an in-person or virtual meeting, show, seminar, conference, presentation, program, or other Event offered or organized through Aesthetic Exclusive™.

“Order” means the applicable scope of Services, sponsorship, package, placement, participation, or other offering reflected in an invoice, proposal, checkout, order form, package description, or written agreement.

“Services” means the services, programs, opportunities, placements, Events, sponsorships, and other offerings made available through Aesthetic Exclusive™ or Perfect Image, LLC as described in these Terms or an applicable Order.

“Sponsor” means an individual or entity approved to participate in an Aesthetic Exclusive™ sponsorship opportunity.

“Intellectual Property Rights” means copyrights, trademarks, service marks, trade names, domain names, design rights, database rights, publicity rights, and other intellectual property or proprietary rights, whether registered or unregistered.

“Terms” means these Aesthetic Exclusive™ Terms of Use, as amended or updated from time to time.

16.2 Interpretation

  • Words in the singular include the plural and vice versa where appropriate.
  • References to a person include individuals and legal entities where the context permits.
  • Headings are provided for convenience and do not limit the meaning of a provision.
  • Words such as “including” or “includes” are illustrative and do not limit the generality of the preceding language.

16.3 Legal References

A reference to a law or regulation includes amendments, replacements, successor provisions, and re-enactments of that law or regulation, as applicable.
